SEC requires companies required to open proxy materials to qualified investors

New rules adopted last week by the U.S. Securities and Exchange Commission could make it easier for activist investors to push their slate of directors in proxy contests.
The rules will enable shareholders to have their director nominees included in the company's proxy materials if the investors have held at least 3% of a company for at least three years. Currently, shareholders must submit their own proxy materials separately...
